1. DEFINITIONS

“Agreement”: These Terms & Conditions together with invoicing, product/service descriptions, and any Statement of Work (SOW).

“Client”: The individual or entity purchasing services.
-
“Collaborator”: An external third party co-facilitating, co-hosting, or co-branding workshops and events with The Human Prototype Lab or JW Nadolski Coaching & Consulting.
-
“Services”: Coaching, workshops, events, online marketing, branding, communications, design and sale of original writing and visual artwork/designs as requested by private citizens or business professionals, and related work for entrepreneurs, solopreneurs, self-employed individuals, freelancers, and registered business owners.

“Personal Data”: Any data as defined under GDPR (EU 2016/679).

“Processor” & “Controller”: As defined by GDPR.
2. SCOPE OF SERVICES
The Human Prototype Lab and JW Nadolski Coaching & Consulting provide:

1:1 coaching for business owners, founders, solopreneurs, and leaders (delivered under JW Nadolski Coaching & Consulting)
-
Workshops, events, coordination, management, and facilitation
-
Visual and written arts
-
Digital marketing strategy and execution
-
Social media management and content creation
-
Branding and communications for creatives, solopreneurs, entrepreneurs, self-employed individuals, and business owners
Specific deliverables, timelines, and fees will be detailed in a Statement of Work (SOW) or separate agreement.
3. CLIENT OBLIGATIONS

Provide accurate briefs, materials, and timely feedback.

Ensure all shared content (images, text, etc.) is legally owned or licensed.

For EU-based clients: Comply with GDPR when sharing Personal Data (e.g., artist or brand portfolios).
4. FEES & PAYMENTS
Pricing
As outlined in the product description, coaching agreement, or Statement of Work (SOW), dependent on project or service.
Quotes
Quotes, when given, are valid for seven (7) days.
Payment Terms

Dependent upon product, project, or service, payment is due at time of checkout, prior to session commencement, or within seven (7) days of quote approval by the Client.

For coaching services, payment is due prior to the start of each session or package initiation.
Late Payments
Late or outstanding payments will be handled on a case-by-case basis. Where a Client is materially in breach of payment obligations, the Coach or service provider reserves the right to suspend services with 14 days’ written notice.
Refunds & Cooling-Off
No refunds for completed work or delivered sessions. In accordance with Dutch consumer law, Clients have a 14-day cooling-off period from the date of contract formation. If a session or service has already been delivered at the Client’s explicit request within that window, the right to refund for that session may be waived.
5. INTELLECTUAL PROPERTY
Client Materials
The Client retains ownership of all content they provide (artwork, logos, copy, etc.).
Our Deliverables

Final marketing materials (e.g., campaigns, graphics) are licensed to the Client for their intended use.

The Human Prototype Lab and JW Nadolski Coaching & Consulting retain rights to all proprietary methods, frameworks, coaching tools, templates, and unused concepts.
Third-Party Tools
Fonts, stock images, or software used in deliverables may have separate third-party licences. The Client is responsible for compliance with any such licences in their own use.
6. DATA PROTECTION (GDPR COMPLIANCE)
The Human Prototype Lab and JW Nadolski Coaching & Consulting are committed to protecting Client personal data in accordance with GDPR (EU 2016/679) and applicable Dutch data protection law.
What We Collect
Personal data collected may include name, email address, location, business details, and any information shared voluntarily during onboarding, sessions, or communications.
Legal Basis for Processing
Data is processed on the basis of contractual necessity (performance of this Agreement), legitimate interest, or explicit consent where required.
Retention
Personal data is retained for the duration of the engagement and for seven (7) years thereafter in line with Dutch administrative and tax obligations. Data no longer required will be securely deleted or anonymised.
Your Rights
Clients have the right to access, rectify, erase, restrict, or port their personal data, and to withdraw consent at any time. Requests can be directed to hello@humanprototypelab.org or jwnadolski.consulting@gmail.com.
Third-Party Processors
Services may use third-party tools including scheduling software, communication platforms (e.g., WhatsApp, email), and cloud storage. These processors are engaged only where adequate data protection safeguards are in place.

7. CONFIDENTIALITY
Both parties agree to keep business-sensitive information confidential unless:

Required by law.

The information becomes public through no fault of either party.
8. LIABILITY & INDEMNIFICATION
Limitation of Liability
Total liability under this Agreement is capped at fees paid by the Client in the six (6) months preceding the claim.
Exclusions
We are not liable for:

Client-provided content infringing third-party rights.

Delays or failures due to force majeure (e.g., pandemics, cyberattacks, natural disasters).
Indemnity
The Client agrees to indemnify and hold harmless The Human Prototype Lab and JW Nadolski Coaching & Consulting against losses arising from the Client’s breach of intellectual property rights, GDPR obligations, or these Terms.
9. TERMINATION
Term
Services continue until the SOW or coaching agreement is completed or terminated by either party.
Termination for Cause
Either party may terminate with 14 days’ written notice in the event of material breach, including non-payment or GDPR violations.
Effect of Termination
The Client pays for all work completed or sessions delivered up to the termination date. Any sessions prepaid and not yet delivered will be refunded on a pro-rata basis. Personal data will be deleted or returned as agreed, subject to legal retention obligations.
10. DISPUTE RESOLUTION & GOVERNING LAW
Applicable Law
These Terms are governed by Dutch law.
Jurisdiction
Disputes will be settled in the courts of Den Haag, Nederland.
Mediation
Both parties agree to negotiate in good faith and attempt mediation before initiating formal legal proceedings.
11. GENERAL
Amendments
Changes to these Terms must be made in writing and agreed by both parties.
Severability
If any clause is found to be invalid or unenforceable, the remaining provisions continue in full force.
Entire Agreement
These Terms, together with any applicable SOW or coaching agreement, supersede all prior verbal or written understandings between the parties.
